1. Introduction
These Seller Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“Seller”,
“you”) and PPNP SOLUTIONS LTD (“Company”, “Loupe”, “we”, “us”, “our”) governing your access to and
use of the Loupe mobile application, website, and related services (collectively, the “Platform”).
By registering as a Seller, uploading listings, subscribing to any Seller plan, or otherwise using the Platform,
you acknowledge that you have read, understood, and agree to be bound by these Terms and the Seller
Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not use the Platform.
2. Eligibility & Business Representation
• You must be at least eighteen (18) years of age.
• You must possess the legal capacity to enter into binding agreements.
• You must provide accurate and verifiable personal and business information.
• Misrepresentation of identity, business status, certifications, or inventory may result in suspension or
termination.
3. Nature and Scope of the Platform
• Loupe operates solely as a non-transactional discovery and communication platform.
• Loupe does not buy, sell, own, certify, grade, authenticate, price, store, ship, insure, or deliver
gemstones.
• Loupe does not negotiate, supervise, or execute transactions between users.
• All commercial dealings occur directly between Sellers and Buyers at their own discretion and risk.
Loupe does not guarantee identity, authenticity, legality, or payment performance of any Buyer.
4. License Grant & Term
Subject to compliance with these Terms, Loupe grants you a limited, non-exclusive, non-transferable,
non-sublicensable, revocable license to access and use the Platform for lawful purposes only.
• The legal term of this Agreement is twelve (12) months and shall automatically renew unless terminated.
• Seller subscriptions are billed monthly under the applicable subscription plan.
• Loupe reserves the right to modify, suspend, restrict, or discontinue features without liability.
5. Listings & Content Responsibility
• You are solely responsible for the accuracy and legality of your listings.
• You represent that you have lawful rights to all uploaded content, images, certificates, and descriptions.• You grant Loupe a worldwide, royalty-free, non-exclusive license to display and host your listings for
platform operations.
• Loupe may remove, restrict, or disable listings without notice where policies are violated.
6. Advertising & Promotional Features
Where Sellers subscribe to promotional or advertising plans, placement, rotation, and visibility may be
determined through automated systems or proportional logic. Loupe does not guarantee ranking, sequence,
impressions, visibility, or commercial outcomes.
7. Account Security & Credential Responsibility
• You are responsible for safeguarding login credentials.
• You are responsible for all activity conducted under your account.
• Loupe is not liable for unauthorized access resulting from your failure to protect credentials.
8. Fees & Payments
• Subscription fees are payable in advance under your selected plan.
• All fees are non-refundable unless required by law.
• Subscription does not guarantee sales, inquiries, or transaction outcomes.
9. Monitoring & Enforcement
Loupe may monitor listings, communications, and activity solely for fraud detection, policy enforcement,
abuse prevention, and legal compliance.
• Loupe may issue warnings, suspend, blacklist, or terminate accounts for misconduct.
• Loupe is not obligated to disclose evidence of complaints or investigations.
10. Disclaimers
The Platform is provided on an 'AS IS' and 'AS AVAILABLE' basis. Loupe disclaims all warranties, express
or implied, including accuracy, authenticity, merchantability, fitness for purpose, or non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, Loupe shall not be liable for any direct, indirect, incidental,
consequential, or punitive damages. Total aggregate liability shall not exceed INR 100.
12. Indemnity
You agree to indemnify and hold harmless Loupe against claims, losses, damages, liabilities, or expenses
arising from your listings, representations, or violation of these Terms.
13. Export Control & Sanctions Compliance
You agree to comply with all applicable export control, sanctions, and trade laws and represent that you are
not subject to restrictions or embargoes prohibiting use of the Platform.
14. Force Majeure
Loupe shall not be liable for delays or failures due to events beyond reasonable control, including natural
disasters, cyber incidents, government actions, or service outages.15. No Fiduciary Relationship
Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, or employment relationship
between Loupe and any Seller.
16. Governing Law & Jurisdiction
These Terms shall be governed by the laws of India. Courts at Jaipur, India shall have exclusive jurisdiction.

These Buyer Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“Buyer”,
“User”, “you”) and PPNP SOLUTIONS LTD (“Company”, “Loupe”, “we”, “us”, “our”) governing your access to
and use of the Loupe mobile application, website, and related services (collectively, the “Platform”).
By registering, subscribing, accessing, or using the Platform as a Buyer, you acknowledge that you have
read, understood, and agree to be bound by these Terms and the Buyer Privacy Policy, which is
incorporated herein by reference. If you do not agree, you must not access or use the Platform.
2. Eligibility & Age Restriction
• You must be at least eighteen (18) years of age.
• You must have the legal capacity to enter into binding agreements under applicable law.
• Accounts found to be operated by minors or containing false age information may be suspended or
terminated without notice.
3. Nature and Scope of the Platform
• Loupe operates solely as a non-transactional discovery and communication platform.
• Loupe does not buy, sell, own, certify, grade, authenticate, price, store, ship, insure, or deliver
gemstones.
• Loupe does not negotiate, structure, supervise, or execute transactions between Buyers and Sellers.
• All communications, negotiations, and transactions occur directly between users at their own discretion
and risk.
Loupe does not guarantee identity, conduct, authenticity, legality, pricing, availability, or performance of any
user or gemstone.
4. License Grant & Term
Subject to your compliance with these Terms, Loupe grants you a limited, non-exclusive, non-transferable,
non-sublicensable, revocable license to access and use the Platform for lawful purposes only.
• The legal term of this Agreement is twelve (12) months and shall automatically renew unless terminated.
• Platform access may require an active monthly subscription where applicable.
• Loupe reserves the right to modify, suspend, restrict, or discontinue any aspect of the Platform at any
time without liability.
5. Account Security & Credential Responsibility
• You are responsible for safeguarding your login credentials.
• You are responsible for all activity conducted under your account.• You must promptly notify Loupe of suspected unauthorized access.
• Loupe is not liable for losses resulting from failure to protect account credentials.
6. Buyer Obligations & Representations
• You agree to provide accurate and truthful information.
• You agree not to misuse, exploit, scrape, or interfere with Platform functionality.
• You agree not to engage in fraudulent, deceptive, or unlawful conduct.
• You are solely responsible for your communications and commercial decisions.
7. KYC & Verification
Buyer KYC verification may be required for identity validation, fraud prevention, and platform integrity. KYC
does not constitute endorsement, certification, or assurance of any user or transaction.
8. Fees & Subscription
• Buyer subscriptions, where applicable, are billed monthly.
• All subscription fees are non-refundable unless required by law.
• Subscription does not guarantee transaction outcomes, visibility, or success.
9. Monitoring & Communications
Loupe may monitor communications solely for fraud prevention, dispute handling, abuse prevention, legal
compliance, and platform integrity. Essential service communications cannot be opted out of.
10. Suspension & Termination
• Loupe may suspend or terminate Buyer accounts for violation of these Terms.
• Termination may occur without prior notice where necessary to protect platform integrity.
• Upon termination, access rights immediately cease.
11. Disclaimers
The Platform is provided on an 'AS IS' and 'AS AVAILABLE' basis. Loupe disclaims all warranties, express
or implied, including warranties of accuracy, authenticity, non-infringement, merchantability, or fitness for a
particular purpose.
12. Limitation of Liability

be liable for any direct, indirect, incidental, consequential, or punitive damages. Total aggregate liability shall
not exceed INR 100.

You agree to indemnify and hold harmless Loupe from claims, losses, damages, liabilities, or expenses
arising from your misuse of the Platform or violation of these Terms.
14. Force Majeure

disasters, cyber incidents, government actions, or internet outages.15. No Fiduciary Relationship
Nothing in these Terms creates a fiduciary duty, partnership, agency, joint venture, or employment
relationship between Loupe and any Buyer.

These Terms shall be governed by the laws of India. Courts at Jaipur, India shall have exclusive jurisdiction.
